The following describes the terms and conditions of Mytutor24, a division of Coaxis Services LLC of New Jersey (referred to herein as "Mytutor24", "we," "us," or "our") and offers you information (including the Intellectual Property [as defined below]) on services and products on our web site and related web pages.

Mytutor24 will provide tutoring/educational material to students from grades K-12. Students and Parents (Referred to herein as "Users") who are enrolled with Mytutor24 and have access and use of Mytutor24 are subject to the following terms and conditions and all applicable laws. All students must be enrolled by an adult for tutoring sessions. You agreeing to the terms and conditions indicate to us that you have attained the age of majority under the laws of the jurisdiction in which you reside.

We reserve the right to modify, amend or restate the Terms and Conditions from time to time with or without prior notice.

Your use of this web site and any Services after the posting of modifications to these Terms and Conditions will constitute your acceptance of the Terms and Conditions as modified.

Such copies may be printed solely for noncommercial personal use and as long as you retain all copyright and other proprietary notices contained on such pages. This web site contains material, which is derived in whole or in part from materials supplied by us and various other sources. This web site, including but not limited to its text, logos, content, photographs, flash animations, video, audio and graphics (the "Intellectual Property"), is protected by copyrights, service marks, international treaties and/or other proprietary rights and laws of USA. You agree to abide by all applicable copyright and other laws, as well as any additional copyright notices or restrictions contained in our services.

Mytutor24 provides online tutoring services and supplemental educational content to students (grades K-12) in the subjects enrolled by the student. The tutoring sessions will be held during prescheduled one-on-one live interactions through the Internet. These will be held only at a time mutually agreed to between the student and the tutor at the time of enrollment or modified thereafter by mutual agreement. We recommend that all of our students enroll for a minimum of 10 hours of tutoring per month.

The following shall be provided to the Students upon enrollment: a pen mouse and tablet whiteboard for written interactions with the tutor, a headset for verbal communications with the tutor, and other appropriate software as required. The student has three sessions or 15 days from the start of the first tutoring session whichever is earlier, trial period to evaluate the tutoring services. An initial enrollment fee in the amount of $150 is required for all new Students. This fee will be returned if the student decides to discontinue the service during the earlier of either the first three sessions or 15 day trial period and if we receive the startup kit in good "as-new" condition within 10 days after the expiry of the trial period. Refunds will not be made if the start-up kit is received in poor condition, has been abused or is not usable for any reason. The student gets to keep the startup kit provided by us if he or she has continued with our services beyond the trial period of the first three tutoring sessions or 15 days from the start of the first session. The enrollment/registration fee will not be refunded after the trial period.

Our Performance guarantee backs all of the tutoring services we provide. In general, the guarantee applies to student performance in our assessment tests before and after tutoring is begun and will represent a minimum 10% improvement in scores in the assessment we will conduct for the subject area tutored or as mutually determined by us and the student's parent/school during the initial planning sessions before official tutoring is begun. This guarantee will apply only if students are enrolled with us for a minimum of 18 weeks continuously and take minimum of three tutoring sessions each week, for a total of 36 tutoring sessions in each of the subject areas chosen for tutoring services. If the intended performance improvement is not realized within the period identified and if all other requirements for warranty claims are met, MyTutor24 will provide an additional 6 tutoring sessions, over and above the 36 minimum sessions that have been paid for, free of cost to the school/district/parent.

MyTutor24 also agrees to refund the money paid for services if the student or parent is not satisfied with the services offered during the first tutoring session or within 5 days after the start of the trial period.

Mytutor24 agrees to refund money paid for tutoring services if you are not satisfied with the services offered during the first three tutoring sessions or within 15 days after the start of the first tutoring session. You may call (877)-888-9155 or send email to cancel our services and obtain a cancellation confirmation number. If you do not cancel within the 15 day trial period, you will not receive a refund of the enrollment fees ($150) and the tutoring fees for tutoring sessions already taken and paid for and you ("the User/Student") agree to continue with our services and extend the tutoring sessions in monthly increments until you notify us to cancel. You will automatically be enrolled for additional tutoring sessions for each month thereafter and charges will be applied to the credit card we have on file. Please see next section on Scheduling and continuation of tutoring sessions for more details.

All tutoring sessions will be scheduled for a minimum of 10 sessions and shall extend in 10 session increments thereafter. After you begin your initial 10 session enrollment, we will automatically charge your account for the sessions beginning from the 7th session for an additional 10 sessions. You will be allowed to choose your tutoring sessions based on existing availability of tutors and time schedules.

All tutoring schedules will continue for subsequent months and you will lose your allotted schedules if we do not receive payments from you within 7 days of the last paid session. Payments for the sessions (minimum recommended of 10 per month) will always be paid 10 sessions in advance. Upon receiving your credit card authorization for the initial 10 sessions, we will continue to bill you 10 sessions in advance for every time your balance drops to 4 remaining paid sessions, unless we receive notification of your cancellation in writing or verbally when you connect with one of our representatives. All terminations will become valid once we issue a cancellation confirmation number. It will be your responsibility to notify us of your cancellation if you have not received a confirmation of your cancellation within a week of your request for termination. You will also be charged for any last minute cancellations of tutoring sessions. Two weeks minimum notification will be required for any cancellations and you will be charged for the sessions remaining in the subsequent two weeks (two weeks will start from date of confirmation of termination.)

The fees for the tutoring service is payable in advance per month in US dollars. Only credit card (VISA or MASTERCARD) payments are accepted. We reserve the right to adjust/change fees for tutoring at any time.

The Services may include message systems, bulletin boards that may provide on-line participation by and interaction among users. All remarks, suggestions, ideas, graphics, or other information communicated to us through our Services will become the property of Mytutor24. Without limitation, we will have exclusive ownership of all present and future existing rights to the User Submission of every kind and nature everywhere. We will be entitled to use the User Submission for any purpose whatsoever (consistent with the Privacy Policy then in effect), without compensation to you or any other person sending the User Submission.

Mytutor24 allows all enrolled students, a limited, personal license, to use the services, and the software provided to you in CD or other electronic format. The User shall not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to, create derivative works from, transmit or in any way exploit any part of the service, except that you may download material from the service and/or make one print copy for your own personal, noncommercial use, provided that you retain all copyright and other proprietary notices. You may not use the services in any way to improve the quality of any data sold or contributed by you to any third party. In addition you may not use any of our trademarks, trade names or service marks in any manner, which creates the impression that such names and marks belong to or are associated with you or are used with our consent, and you acknowledge that you have no ownership rights in and to any of these names and marks.

You acquire absolutely no rights or licenses in or to the Services and materials contained therein other than the limited right to utilize the Services in accordance with the Terms and Conditions. Should you choose to download content from the Services, you must do so in accordance with the Terms and Conditions. Such download is licensed to you by us only for your own personal, noncommercial use in accordance with the Terms and Conditions and does not transfer any other rights to you.

The start up Kit is warranted against defects in workmanship and material for one (1) year from the date of delivery to the student provided the student is continuously enrolled with Mytutor24 for the entire time period. We shall either repair or replace, at our option, any component, which fails during the warranty period because of a defect in workmanship and material, provided that such component(s) is returned to us with pre-paid postage. The warranty will no longer be valid if the Start up Kit has been subjected to abuse, misuse, accident, neglect or unauthorized repair or installation. The warranty does not hold good for normal usage and wear and tear. Mytutor24 does not give any warranty regarding the use or the results of the use of the Startup Kit in terms of their correctness, accuracy, reliability, security or otherwise. You take the responsibility for the entire cost of any necessary servicing, mailing, repair or correction that may result from the use of the Startup Kit.

While we endeavor to maintain the highest professional quality of the Services we offer, we cannot be held responsible for any errors, defects, lost profits, or other consequential damages arising from the use of our services. We will not be liable for any damages or injury, including but not limited to, special or consequential damages that result from any failure of performance, error, omission, interruption of work, defect, delay in operation of transmission, or computer virus, computer failure, the use of, or the inability to use, the materials in the Services even if there is negligence by us or an authorized representative of us; student has been advised of the possibility of such damages. The above limitation or exclusion may not apply to you to the extent that applicable law may not permit the limitation or exclusion of liability for incidental or consequential damages. Our total liability to you for all losses, damages, and causes of action will not exceed the amount you paid to us to utilize our Services.

You agree, to the extent permitted by applicable law, to indemnify and hold Mytutor24, our officers, directors, owners, agents and employees harmless from any claim or demand, including reasonable attorneys fees, made by any third party due to or arising out of your use of the Services, the violation of these Terms and Conditions by you, or the infringement by you, or other user of the Services using your computer, of any Intellectual Property or other right of any person or entity. We reserve the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you.

In the event that any one or more of the provisions contained herein shall, for any reason, be held to be invalid, illegal or unenforceable in any respect, such invalidity, illegality or unenforceability shall not affect any other provisions of this agreement, but this agreement shall be construed as if such invalid, illegal or unenforceable provisions had never been contained herein, unless the deletion of such provision or provisions would result in such a material change so as to cause completion of the transactions contemplated herein to be unreasonable.

The Terms and conditions are effective until you cancel your enrollment or Mytutor24 cancels your enrollment. You may cancel your enrollment as set forth in this document by contacting our customer support by e-mail or phone. This Agreement will terminate immediately without notice from us if we, in our sole discretion, decide to terminate it. We will refund any unused tutoring session fees upon termination. You will be required to remove all software installation from your computer and cease usage of any supplemental educational material stored either in our computer network or stored on your computers.

Our Services are offered via the Internet and the Students and Tutors are located throughout the world. The Site is controlled and operated from our offices in New York and New Jersey. Mytutor24 makes no representation that the Deliverables are appropriate or available for use in all locations. Since the educational content varies from state to state it is hereby your responsibility to make sure that the tutoring content we offer confirms to your state and local standards. We will however, upon request, provide you information about your state standards and will do our best to meet your educational needs. The eTAP content we provide is through an arrangement we have with eTAP.org that provides educational material according to the requirements from the State of California. We will appropriately modify this section as we develop capability to offer state specific curriculum in the future. You further agree and acknowledge that this Agreement and any dispute in connection with the use by you, the Student, or any third party of the Site or the Services will be governed by the laws of the State of New Jersey, U.S.A. and the federal laws of the United States of America.

MyTutor24 operates this Website from within the United States of America. The User acknowledges and agrees that the Materials are subject to applicable export control laws and regulations of the USA. The User agrees not to export or re-export the content and other Materials, directly or indirectly, to any countries that are subject to USA export restrictions.

In consideration of use of MyTutor24, User agrees to provide to MyTutor24 and its third-party partners true, accurate, current, and complete information as prompted by this Web site's online registration form (the "Registration/Enrollment Data") and agrees to maintain and promptly update the Registration Data as necessary in order to keep it true, accurate, current and complete. If Member provides any information that is untrue, inaccurate, not current or incomplete, MyTutor24 may suspend or terminate Member's account immediately and may refuse Member all current or future use of MyTutor24.

By using Myturor24, you agree to the above stated terms and conditions. This Agreement is entered into in the State of New Jersey and shall be construed in accordance with the laws of the State of New Jersey, exclusive of its choice of law rules. Each party to this Agreement submits to the exclusive jurisdiction of the state and federal courts having jurisdiction in the State of New Jersey, and waives any jurisdictional, venue, or inconvenient forum objections to such courts. In any action to enforce this Agreement, the prevailing party will be entitled to costs and attorneys' fees. In the event that any of the provisions of this Agreement are held to be unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary so that this Agreement shall otherwise remain in full force and effect. This Agreement constitutes the entire understanding between the parties pertaining to the subject matter hereof, and any prior written or oral agreements between the parties are expressly cancelled. MyTutor24 (Coaxis Services, LLC) may modify the terms of this Agreement by posting notice of such modification on this page before the modification takes effect. You are bound by such revisions and should periodically visit this page to review the current Terms of Use.
